Terms of service.

These terms govern your use of the Parts Resolve platform, websites and API. By creating an account or placing an order you agree to them.

1. Who we are

Parts Resolve Ltd ("Parts Resolve", "we", "us") is a company registered in England and Wales. Our registered office and contact details are available on request.

Parts Resolve operates a UK trade platform that helps verified trade buyers source automotive parts from verified UK suppliers, and exposes that data through a REST API.

2. Eligibility

The platform is for UK trade businesses only — independent garages, bodyshops, dealers, fleets, motor factors, parts distributors, OEM suppliers and authorised dismantlers. By registering, you confirm you are a UK business and that you are authorised to act on its behalf.

We reserve the right to verify your business through Companies House, trade references and other reasonable checks, and to suspend or close accounts where verification fails.

3. The role of Parts Resolve

For most transactions Parts Resolve acts as an intermediary between buyer and supplier. The contract for the sale of goods is between the buyer and the supplier; Parts Resolve facilitates the connection, the order routing and (where applicable) the payment.

Where Parts Resolve is the contracting seller — for example, on managed-procurement plans — that will be made clear at the point of sale.

4. Orders, prices and payment

Prices are presented exclusive of VAT unless stated otherwise. Suppliers may apply trade-tier discounts based on your account.

Orders placed through the platform are subject to the supplier’s order acknowledgement and stock availability at the time of fulfilment.

Payment terms vary by plan and supplier. Where Parts Resolve takes payment on behalf of suppliers, we hold those funds in accordance with applicable UK regulations and release them on dispatch.

5. Returns, warranties and disputes

The supplier’s standard returns and warranty policy applies to each order, in addition to your statutory rights as a UK business buyer. Cross-reference evidence supplied by Parts Resolve does not extend or replace those manufacturer warranties.

In the event of a dispute between buyer and supplier, Parts Resolve will mediate in good faith but is not the contracting seller unless explicitly stated.

6. Acceptable use

You must not use the platform or the API to: (a) scrape, mirror or rebuild the cross-reference graph; (b) abuse the DVLA lookup beyond legitimate trade purposes; (c) impersonate another business; (d) submit fraudulent stock data; (e) circumvent supplier or buyer agreements made through the platform; or (f) anything else unlawful in the UK.

API usage is subject to fair-use limits and the per-plan request allowances. Repeated breaches may result in suspension or termination.

7. Data and confidentiality

Our handling of personal data is governed by the Privacy Policy. Trading data — pricing, supplier relationships, fulfilment performance — is treated as commercially confidential by both sides.

You must not disclose another participant’s confidential trading data without their consent, and must not use the platform to gather competitive intelligence beyond what is reasonably necessary to operate your own trade.

8. Liability

Parts Resolve does not exclude liability for death, personal injury caused by negligence, fraud, or any liability that cannot lawfully be excluded.

Subject to that, our total liability arising out of or in connection with the platform in any 12-month period is limited to the fees paid by you in the same period (or, if greater, £500). We are not liable for indirect or consequential losses, loss of profit or loss of business opportunity.

9. Termination

You can close your account at any time from your dashboard. We can suspend or terminate accounts for breach of these terms, prolonged inactivity, or where required by law. Outstanding orders and invoices remain payable.

10. Changes

We may update these terms from time to time. Material changes will be notified by email and shown on this page. Continued use of the platform after a material change constitutes acceptance.

11. Governing law

These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute, except that we may seek injunctive relief in any competent court.
